LeaseNow organizes profiles, spaces, opportunities, qualifications, applications, decisions, availability, and booking records. It does not currently collect payments, issue refunds or payouts, execute contracts, provide insurance, or guarantee that a member, document, space, or opportunity is suitable or legally compliant.
1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and Malagon Systems LLC, which provides LeaseNow (“LeaseNow,” “we,” “us,” or “our”). By creating an account, accessing a member workspace, or otherwise using LeaseNow, you agree to these Terms and acknowledge our Privacy Policy.
If you use LeaseNow for a company or other organization, you represent that you have authority to accept these Terms for that organization. If you do not agree, do not use the service.
2. Eligibility and pilot scope
You must be at least 18 years old and legally able to enter into this agreement. The current pilot supports marketplace activity in Florida. Access may be limited by invitation, account status, role, geography, or operational capacity.
LeaseNow may change, limit, test, or discontinue pilot features. A pilot feature should not be treated as a promise that the feature will remain available or become generally available.
3. Accounts and security
- Provide accurate, current information and keep it updated.
- Choose only roles you are authorized to perform and do not impersonate another person or organization.
- Protect your password and account access. You are responsible for activity performed through your account unless prohibited by law.
- Notify the person who invited you to the pilot promptly if you suspect unauthorized access.
- Do not share restricted marketplace or document information outside the purpose for which it was provided.
We may require password changes, revoke sessions, limit roles, or request additional verification to protect the platform and its members.
4. Marketplace roles and decisions
A single account may have vendor, host, organizer, or administrative responsibilities. What you can see or do depends on your role and relationship to a record.
Vendors
Vendors are responsible for the accuracy of their business profiles, dimensions, availability, permits, licenses, insurance, and other submitted materials. A “reviewed” or “approved” status records a platform decision; it is not legal advice, certification, an endorsement, or a guarantee of continuing compliance.
Hosts and organizers
Hosts and organizers are responsible for having authority to list a place or space, accurately describing restrictions and commercial terms, maintaining safe and lawful premises, and making their own applicant and scheduling decisions.
All participants
Members must independently evaluate fit, safety, legal requirements, insurance, tax obligations, accessibility, permits, licenses, and counterparties. LeaseNow may retain decisions, notes, status changes, and submission history to keep the marketplace accountable.
5. Your content and permissions
You keep ownership of information and materials you submit (“Your Content”). You grant LeaseNow a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and share Your Content only as reasonably needed to operate, secure, support, and improve the service and fulfill marketplace workflows.
You represent that you have the rights and authority needed to submit Your Content and permit this use. Do not submit content that is unlawful, misleading, infringing, malicious, unnecessarily sensitive, or unrelated to a legitimate marketplace purpose.
Feedback and product suggestions may be used without restriction or payment, but we will not identify you publicly as the source without permission.
6. Opportunities, bookings, payments, and contracts
Opportunity, application, approval, availability, and booking entries are operational records. Unless LeaseNow expressly states otherwise in a future written update:
- LeaseNow is not a party to an agreement between marketplace participants.
- Creating a booking record does not itself execute a lease, license, event agreement, or other contract.
- LeaseNow does not collect rent, application fees, deposits, card information, refunds, disputes, or payouts.
- An external-payment status is a record entered by an authorized person and is not confirmation by a bank or payment processor.
- Members are responsible for negotiating and documenting their own commercial terms and resolving disputes with one another.
Nothing on LeaseNow is legal, tax, insurance, real-estate, safety, or financial advice.
7. Acceptable use
You may not:
- Use LeaseNow for unlawful, fraudulent, discriminatory, deceptive, or harmful activity.
- Upload malware, probe security controls, bypass access restrictions, scrape private information, or interfere with the service.
- Access records without authorization or use another member’s information outside a legitimate marketplace purpose.
- Misrepresent qualifications, authority, availability, pricing, payment status, documents, locations, or decisions.
- Copy, reverse engineer, resell, or commercially exploit the service except as allowed by law or written permission.
- Use LeaseNow to send spam, harass others, or infringe privacy, intellectual-property, publicity, or other rights.
We may investigate suspected violations and cooperate with lawful requests.
8. Third-party services
LeaseNow may rely on or link to third-party infrastructure, maps, websites, or services. Third parties control their own availability, terms, and privacy practices. We are not responsible for a third party’s service merely because LeaseNow links to or interoperates with it.
9. LeaseNow ownership
LeaseNow, its software, design, branding, documentation, and platform content—excluding Your Content and third-party materials—are owned by Malagon Systems LLC or its licensors and protected by applicable law. These Terms give you a limited, revocable, non-transferable right to use the service for its intended business purpose during the pilot.
10. Suspension and termination
You may stop using LeaseNow at any time. We may limit, suspend, or terminate access when reasonably necessary to protect members or the service, address a Terms violation, comply with law, respond to risk, or operate the pilot.
Sections that by their nature should survive—including ownership, disclaimers, limitations, dispute terms, and obligations concerning retained marketplace records—continue after account access ends.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASENOW AND THE PILOT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT MEMBERS, DOCUMENTS, REVIEWS, LOCATIONS, OPPORTUNITIES, DECISIONS, OR EXTERNAL-PAYMENT RECORDS ARE ACCURATE, SAFE, SUITABLE, AVAILABLE, OR LEGALLY COMPLIANT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PART OF THIS SECTION MAY NOT APPLY TO YOU.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MALAGON SYSTEMS LLC AND ITS AFFILIATES, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITIES, ARISING FROM OR RELATED TO LEASENOW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO LEASENOW FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. Because the current pilot does not process payments, the second amount will ordinarily apply. Applicable law may provide rights that cannot be limited by contract.
13. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Malagon Systems LLC and its affiliates and personnel from third-party claims, losses, liabilities, and reasonable costs arising from Your Content, your marketplace activity, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.
14. Governing law and disputes
Florida law governs these Terms without regard to conflict-of-law rules. Before filing a formal claim, you and LeaseNow agree to make a good-faith effort to resolve the issue informally for at least 30 days after written notice.
Unless applicable law requires otherwise, state and federal courts located in Lee County, Florida will have exclusive jurisdiction over disputes arising from these Terms or the service, and each party consents to that venue. These Terms do not prevent either party from seeking urgent injunctive relief or using an eligible small-claims procedure.
15. Changes and general terms
We may update these Terms as the pilot changes. The effective date identifies the current version. Material changes may be communicated through the platform or another reasonable channel. Continued use after revised Terms take effect constitutes acceptance where permitted by law.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or asset transfer. These Terms and the Privacy Policy are the entire agreement about the service unless you and LeaseNow sign a separate written agreement.
16. Contact
For a question or notice about these Terms, use the support channel provided with your LeaseNow pilot invitation or contact the administrator responsible for your account and ask that the message be directed to Malagon Systems LLC, LeaseNow Legal, in the Fort Myers, Florida area. Do not send passwords or unnecessary sensitive information.
